TapCarry Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions ("Terms") govern participation in the TapCarry Affiliate Program ("Affiliate Program"), operated by TapCarry ("TapCarry", "we", "us", or "our").

By applying to or participating in the Affiliate Program, you agree to these Terms.

1. Joining the Affiliate Program

To participate in the Affiliate Program, you must submit an application through the TapCarry affiliate application form.

TapCarry reviews applications and may approve or reject applications at its discretion.

You must provide accurate information when applying and while participating in the Affiliate Program.

2. How the Affiliate Program Works

Approved affiliates receive a unique discount code from TapCarry.

The discount code gives customers 10% off their first month of a TapCarry subscription.

Each affiliate discount code is valid for one month. TapCarry may provide affiliates with a new discount code each month.

A referral is considered valid when a new customer purchases a TapCarry subscription using the affiliate's valid discount code.

TapCarry is not responsible for referrals that cannot be attributed to an affiliate because a customer does not use the affiliate's discount code when purchasing.

3. Affiliate Commissions

For each valid referral, the affiliate receives 100% of TapCarry's Net Revenue from the customer's first month of subscription.

No affiliate commission is paid on the customer's second month or any subsequent months of their subscription.

For these Terms, "Net Revenue" means the amount TapCarry receives from the customer's first subscription payment after deducting:

The 10% customer discount;
Applicable Paddle/payment processing fees;
Refunds, chargebacks, reversals, or other amounts that TapCarry does not ultimately retain; and
Other transaction-specific fees or deductions associated with the payment.

Example

If a customer subscribes for $30/month and, after the 10% discount and applicable fees and deductions, TapCarry receives $25 in Net Revenue, the affiliate receives $25.

The affiliate receives no commission from that customer's payments after the first month.

4. Refunds, Chargebacks, and Invalid Transactions

No commission will be paid on transactions that are refunded, reversed, charged back, fraudulent, or otherwise not successfully collected by TapCarry.

If a commission has already been paid and the associated transaction is later refunded, reversed, or charged back, TapCarry may deduct the corresponding commission from a future affiliate payout.

TapCarry may also withhold commissions associated with suspected fraudulent or abusive activity while the transaction is reviewed.

5. Affiliate Payouts

Affiliate commissions are calculated monthly.

TapCarry intends to pay eligible commissions on the 15th of each month for qualifying referrals from the previous month.

Payments will be made using the payment method agreed upon with the affiliate.

If the 15th falls on a weekend or public holiday, TapCarry may process the payment on the next business day.

TapCarry may introduce a minimum payout threshold in the future. If a minimum threshold is introduced, affiliates will be notified before it takes effect.

6. Affiliate Marketing Rules

Affiliates may promote TapCarry using truthful and accurate information about TapCarry and its products.

Affiliates must not:

Make false, misleading, or deceptive claims about TapCarry;
Make promises or guarantees about TapCarry that have not been authorized by TapCarry;
Send spam or unsolicited promotional messages;
Use fraudulent methods to generate referrals;
Create fake TapCarry accounts, websites, or social media profiles;
Misrepresent themselves as an employee, owner, or official representative of TapCarry;
Use their own affiliate discount code to purchase TapCarry for themselves or generate commissions through self-referrals;
Sell or otherwise misuse their affiliate discount code;
Misuse TapCarry's name, branding, or marketing materials; or
Engage in activities that violate applicable laws or platform rules.

Affiliates must clearly disclose their relationship with TapCarry when promoting TapCarry where such disclosure is required.

7. Discount Codes

Affiliate discount codes are provided for promotional purposes.

Affiliates may not:

Create or modify their own TapCarry discount codes;
Sell their discount codes;
Misrepresent the discount available through their code; or
Combine their code with another TapCarry promotion unless TapCarry allows it.

TapCarry may deactivate, replace, or modify an affiliate's discount code at any time.

8. Use of TapCarry Branding

TapCarry may provide affiliates with logos, images, videos, text, or other marketing materials.

Affiliates may use these materials solely to promote TapCarry through the Affiliate Program.

Affiliates do not receive ownership rights to TapCarry's branding, trademarks, software, content, or other intellectual property.

TapCarry may ask an affiliate to stop using TapCarry branding or marketing materials at any time.

9. Termination

Either TapCarry or an affiliate may end their participation in the Affiliate Program at any time.

TapCarry may suspend or terminate an affiliate's participation if the affiliate:

Violates these Terms;
Engages in fraud or abuse;
Generates fraudulent or invalid referrals;
Uses misleading or deceptive marketing;
Misuses TapCarry's discount codes or branding; or
Engages in conduct that could reasonably harm TapCarry or its reputation.

Upon termination, TapCarry may withhold commissions associated with fraudulent, invalid, refunded, or disputed transactions.

Legitimate commissions earned before termination will generally be paid according to the normal payout schedule.

10. Changes to the Affiliate Program

TapCarry may modify, suspend, or discontinue the Affiliate Program at any time.

This includes the ability to change:

The customer discount;
Affiliate commission rates;
Payout dates or methods;
Eligibility requirements;
Discount code rules; and
Other aspects of the Affiliate Program.

If TapCarry makes significant changes to these Terms, we may notify affiliates by email or another reasonable method.

Continuing to participate in the Affiliate Program after changes take effect means that you accept the updated Terms.

11. Independent Relationship

Participation in the Affiliate Program does not create an employment, partnership, joint venture, agency, or other formal business relationship between TapCarry and an affiliate.

Affiliates are independent promoters and are not authorized to make commitments or agreements on behalf of TapCarry.

12. Program Availability

TapCarry does not guarantee that the Affiliate Program, discount codes, referral tracking, or payment systems will always operate without interruptions or errors.

TapCarry may suspend or discontinue the Affiliate Program at any time.

13. Acceptance

By submitting an application to the TapCarry Affiliate Program, you confirm that you have read, understood, and agree to these Affiliate Program Terms & Conditions.
